This Indenture made the 17% day of July, 1890, between the
N&P RR. Co., payty of the rist part, and The DSS&A Ry., Co.,
party of the second part, Witnesseth, Whereas the railway of
the party of the first part extends from Negaunee, in the county
of Marquette, at a point on the main line of the railway hereto-
fore belonging to the MH&O RR. Co., to Palmer in the same county,
a distance of about ten miles.

And Whereas, the said railway was entirely constructed by the
party of the second part at the request of the party of the first
part and the party of the first part is still indebted to the
party of the second part in the sum of about $90,000,

And Whereas, the said MH&O RR. Co., has sold and conveyed all
its property to the party of the second part by an Indenture bear-
ing even date herewith in accordance with an agreement of said
sale made between the parties hereto the said MH&O and the M&W by
which among other things the party of the first part agreed for
a valuable consideration to sell all its railway and other prop-
erty except its franchise to be a corporation to the party of the
second part.

Now, therefore, this Indenture Witnesseth that the N&P KR. Co.,
party of the first part hereto in consideration of the premises
and $1 to it in hand paid, whereof is hereby acknowledged, has
granted, bargained, sold, assigned, transferred and conveyed and
by these presents does grant, sell, assign, transfer and convey
unto The DSS&A, party of the second part hereto, all its railway
and property both real and personal in every name, notion and de-
scription whatsoever and wheresoever situated, together with all
the rights, privileges, franchises and appuntenances thereunder
belong except the franchise to be a corporation.

In witness whereby the N&P RR. Co., pursuant to authority con-
ferred upon it by law and a resolution of the Board of Directors,
with the consent of all its stockhokders, has caused this Inden-
ture to be subscribed in its name by its President snd the cor-
porate seal of said Company to be hereto affixed.
