This indenture made the 17® day of July 1890, between the Negaunee and Palmer Railroad, a corporation organized and ex- isting under the laws of the State of Mi., party of the first part and The DSS&A Ry., a corporation organized and existing under the laws of the State of Mi., and Wi., party of the second part, Witnesseth: Whereas the railway of the party of the first part extends from Negaunee in the county of Marquette, Mi., at a point on the main line of the railway heretofore belonging to the MH&0 Railroad to Palmer in the same county, a distance of about ten miles. Adn whereas the said railway was entirely constructed by the party of the second part at the request of the party of the first part and the party of the first part is still indebted to the party of the second part in the sum of about $90,000; And whereas the said MH&O Railroad has sold and conveyed all its property to the party of the second part by an instrument bearing even date herewith in accordance with an agreement of sale made between the parties hereto, the said MH&O Railroad and the M&W Railroad by which among other things the party of the first part agreed for a valuable consideration to sell all its railway and other property except its franchise to be a coporation to the party of the second part; Now therefore this Indenture Witnesseth That the Negaunee and Palmer Railroad, party of the first part hereto in consid- eration of the premises and of One Dollar to it in hand paid, the receipt whereof is hereby acknowledged has granted, bargain- ed, sold, assigned, transferred and conveyed and by these pre- sents does hereby grant, bargain, sell, assign, transfer and convey unto the DSS&A Railway, party of the second part hereto all its railway and property both real and personal of every name whatsoever and description whatsoever and wheresoever situated, together with all the rights, privileges, franchsies and appurtances thereunto belonging except the franchise to be @ corporation. In witness thereby the Negaunee and Palmer Railroad pursu- ant to authority conferred upon it by law and of a resolution of its Board of Directors and with the consent of all its stockholders has caused this Indenture to be subscribed in its name by its President and Secretary and the corporate seal of said company to be hereto affixed.
