A  Special Meeting of the Michigan State University Board of Trustees was held via
conference call at 9;0D a.m. on Wednesday, February 26, 1992, in the Board Room of
the Administration Building,

Participating by conference  call  were  Trustees  Pridgeon,  Cook/ Ferguson,  Mawby,
Reinhold, Sawyer, and Weiss,  Trustee Shingleton was unavailable.

University  Officers present  were:  President DiBiaggio, Secretary Davis, Provost
Scott, General Counsel Kurz, Vice President Wilkinson, and Associate Provost Simon,

Ms. Barbara Pichan, J.D., also participated by conference call.

Request  for
Executive  Session

1, 

President  DiBiaggio  called  the meeting to order and announced  that  General
Counsel Kurs had requested that the Board of Trustees meet in Executive Session
as authorized by Section 8 (e) of the Open Meetings Act to discuss with Counsel
specific pending litigation,

2, 

On a motion by Mr. Pridgeon, supported by Ms. Cook, a roll  call vote of the
Board was conducted by Secretary Davis and passed unanimously.

3, 

The Board adjourned for Executive Session.
