MINUTES OF THE SPECIAL MEETING
OF THE
MICHIGAN STATE UNIVERSITY
BOARD OF TRUSTEES

January 15, 1993

A  Special Meeting of the Michigan State University Board of Trustees was held on
Friday, January  15, 1993,. at  3:30  p.m. in the Board  Room of the Administration
Building to announce  Trustee committee appointments and to conduct a Presidential
Search Committee meeting.

Trustees present:  Dolores M.  Cook, Joel  Ferguson, Dorothy  Gonzales, Russell G.
Mawby, Barbara J. Sawyer, John D. Shingleton, Bob Traxler, and Robert.;E. Weiss.

University  officers  present:  President  Guyer,  Secretary  Williams, and General
Counsel and Vice President Kurz.

University  officers  and  Faculty Liaison  and  Student Liaison members were in the
audience.

All actions taken were by unanimous vote of the Trustees present unless otherwise
noted.

On a motion by Dr. Mawby, supported by Mr. Weiss, THE BOARD VOTED to approve
the proposed agenda.

Ms. Manuela Kress, a doctoral student, requested the Board to reconsider
the leadership positions of the committees and the Presidential Search
Committee.

Ms. H. D. (Heather) Bomsta, representing the Lansing Area Chapter of the
National Organization for Women, reported her concern for gender equity
at the University and female representation in the Board leadership.

On a motion by Mr. Shingleton, supported by Mr. Weiss, THE BOARD VOTED to
approve the committee assignments.

Mr.  Ferguson  distributed a memorandum  regarding  Trustee  Policy  Committee
issues,  discussions, and  agenda  items  during  the past  two-year  period in
response to an earlier discussion of the Board.  A copy of the memorandum is
on file in the Office of the Secretary of the Board of Trustees.

Mr.  Traxler, Chairperson of the Presidential Search Committee, conducted the
discussions related to the search agenda items.  Those actions are recorded in
the minutes maintained by the Presidential Search Committee office with a copy
included in the file in the Office of the Secretary of the Board of Trustees.

Discussion of
Presidential
Search

Following the Search discussion, President Guyer reported on the proceedings
of the NCAA convention in Dallas from which he had just returned.  Ms. Cook
complimented the President for informing Board members of the issues tl^t were
to be considered at the meeting and for the follow-up report.

The meeting adjourned at 4:45 p.m.
