Communication from Mr. May: On November 7 I received a communication from Scudder, Stevens & Clark advising that Ameri can Airlines was currently offering shareholders the right to subscribe to a new convertible debenture issue maturing in 1991. Since the University holds only 100 shares of American Airlines, we are entitled to subscribe to only $900 of bonds. Scudder, Stevens & Clark recommend that the rights, expiring on November 16, be sold. I authorized Mr. Cress to complete the sale and would now like Board'approval of this action. Communication from Mr. May: Approval ch. Fee Trusts At the October Board of Trustees meeting, a number of changes in the Harry A. Fee Trusts, that had been recommended by the Detroit Bank and Trust Company, were presented to the Trustees for consideration. After some discussion, the Trustees decided to substitute a purchase of Standard Oil of New Jersey stock for a recommended investment in Colgate- Palmolive Company. continued - Finance Committee Meeting Minutes, continued 4. Communication from Mr. May, continued: November 23, 1966 5687 I have received a letter from the Detroit Bank and Trust Company advising that all invest ment changes have been completed, except for the purchase of Standard Oil of New Jersey stock. This particular trust now holds approximately 20 percent of its investment in petroleum stocks, and for this reason, they suggest that our Trustees consider investing in McGraw Edison Company or Whirlpool Corporation of Fund American Companies. |Approval [changes (Harry Fee ITrusts After discussing this with Mr. Cress, I would like to recommend to the Board of Trustees that it authorize investment of $13,260 in Whirlpool Corporation stock, which is currently selling for about $36 per share. On motion by Mr. Huff, seconded by Mr. Harlan, it was voted to approve the recommendations in items 3 and 4. 5. Request for the approval of an extension of the $4,000,000 Michigan National Bank Loan, which is due December 31, 1966, for a period of one year at an interest rate of 4 percent. It is recommended that the officers of the University be authorized to sign the notes and legal documents. Authority is requested to sign a note with the Community National Bank of Pontiac for approximately $60,000 to cover the purchase price of mobile homes which are to be rented to staff connected with the theater program at Oakland University. On motion by Mr. Stevens, seconded by Mr. Harlan, it was voted to approve the above item. » 7. Communication from Mr. May: We have been requested to sign an oil and gas lease with the Michigan Consolidated Gas Company, giving it the right to explore for oil and gas on the Sarah Van Hoosen Jones property near Rochester- This lease is similar to the one given to the company on January 27, 1961. I would like Board approval to sign such an agreement, with the understanding that it will be cleared with Miss Jones prior to any lease being signed. On motion by Mr. Huff, seconded by Mr. Merriman, it was voted to approve the above item. 8. Communication from Mr. May: Attached is a letter to you outlining the problems encountered with the old Oliver property in Battle Creek. It is my judgment that we have an impossible situation in Battle Creek and should ask Board approval to trade the 7.2 acres to the B. & B. Wrecking Company in return for its removing all buildings except the one good warehouse-type building which is now rented to the L. A. Darling Company. On motion by Mr. Harlan, seconded by Mr. Huff, it was voted to approve the above request. 9. Mr. Carr reported on negotiations on the case in the Court of Appeals in which the Board of Trustees is the plaintiff and the State Labor mediation Board is the defendant. 9 On motion by Mr. Huff, seconded by Mr. Hartman, it was voted to instruct Mr. Carr to proceed with his legal efforts to achieve the Board's desire for a single Union for our employees. It is hoped that the Kellogg Foundation will eventually reimburse us. On motion by Mr. Merriman, seconded by Mr. Huff, it was voted to approve the above purchase of the Parks farm. 11. Mr. May recommended that the Board authorize an appropriation of $64,993, to pay for the redesigned bridge project across the Red Cedar River at the Computer Center. Communication from Chancellor Varner: When I made the request for authorization from the Board of Trustees to place an order for the bleachers for the gymnasium, I failed to include the electric scoreboard, which will be necessary to conduct our major assault on the records in intercollegiate basket ball. I have authorized our people to go ahead and place the order for this, since I felt sure the Board would have been willing to have this included. The total expenditure will be approximately as we described earlier -- about $20,000. L. Howlett | attorney for | Oakland Univ. \ to be expanded 13. Chancellor Varner recommends expanding the role of James L. Howlett, the Oakland University attorney in Pontiac who is now employed on a $1,000 per year retainer. It is now recommended that in order to relieve Attorney Carr of much of the leg work involved in Oakland University legal business, Mr. Howlett be given increased responsibility to work under Mr. Carr!s direction and with Mr. Carr's approval. It is understood that with the Trustees1 approval Mr. Carr, Chancellor Varner, and Mr. Howlett will develop the specifics of an agreement to be reported to the Trustees before it becomes effective. It was agreed that Mr. Varner and Mr. Carr would work out a recommended arrangement with Mr. Howlett, to be presented to the next meeting of this Board. 14. From the Minutes of the Meeting of the Board of Trustees on December 17, 1964: The President introduced a discussion of the new master1s degree programs to be instituted at Oakland University effective in the fall of 1965 and recommended that the Trustees approve in principle the institution of these programs with the details to be worked out by himself and Chancellor Varner. From the Minutes of the Meeting of the Board of Trustees on June 16, 1966: Chancellor Varner recommends that Oakland University be authorized to offer master's programs in Physics, Psychology, and Systems Engineering effective in the fall of 1966. The President and Chancellor Varner have reported to the Trustees on various occasions on the progress of the graduate programs authorized in the action of December 17, 1964, and subsequently developed by President Hannah and Chancellor Varner and approved by the Trustees. The specific programs authorized effective September 1, 1965, are as follows: Chemistry Elementary Education English Mathematics Social Science Master of Science Master of Arts in Teaching Master of Arts Master of Arts in Teaching Master of Arts Master of Arts in Teaching Master of Arts in Teaching Specific masters degree programs approved for Oakland Approval appropriation $15,000 for temporary parking OU Ori..motion by Mr. Huff, seconded by Mr. Stevens, it was voted to approve the above item. 15. Communication from Chancellor Varner: Our parking problems have grown quite acute during the fall, and they will be chaotic as the winter months close in and as additional construction gets under way. In order to alleviate this, it is recommended that the Board authorize us to invest approximately $15,000 to create temporary parking for approximately 250 cars north and west of the new dormitory. It is the plan that this will be so designed that it will carry us through the winter and then be converted into permanent parking within the next year. It is our recommendation that we be authorized to make this charge against Dormitory No. 7. On motion by Mr. Huff, seconded by Mr. Harlan, it was voted to approve the above recommendation. Adjourned. Additional office space is needed by the Speech Department. Office space for two staff members can be provided by moving the existing Green Room from its present location to a relatively unused space behind the experimental theater. Necessary structural, mechanical, and electrical work is estimated at $3,000. If approved, this project will be charged to Alterations and Improvements, account 11-5173. 37. The Office of Medical Education Research and Development will be housed in Olin Health Center until the completion of the Life Science Building.
